Course Title

Business Organizations and Commercial Law

Description

Application of the basic principles of contract law including the Uniform Commercial Code; the nature and structure of the three basic business forms: sole proprietorship, partnership and corporation. A comparison of methods of financing and formation of these business entities. Students will prepare business agreements, a partnership agreement, articles of incorporation, minutes, by-laws and related documents; promissory notes and sales contracts. Emphasis is also placed on an examination of creditor and debtor rights.
